PRELIMINARY ARTICLE: The Client acknowledges and guarantees that the subject of this contract falls within the scope of their main professional activity. Consequently, the Parties expressly intend to exclude the application of the provisions of sections 2, 3, and 6 of Chapter I of the French Consumer Code (Code de la consommation).

ARTICLE 1: SCOPE OF ACTIVITY Water Toys Center is a company specializing in the sale of “Toys & Water Toys,” as well as marine equipment and fittings.

ARTICLE 2: APPLICATION These general conditions apply to the entire commercial relationship between Water Toys Center and the Customer. They prevail over any other document, including the Customer’s general purchasing conditions.

ARTICLE 3: DURATION AND VALIDITY These general conditions enter into force on the day the estimate (quote) is signed by the Customer. The contract remains valid until the expiry of all warranties and obligations due by the Seller.

ARTICLE 4: PURPOSE The purpose of this Contract is to define the rights and obligations of the Parties in connection with the Sale of the Goods offered by Water Toys Center.

ARTICLE 5: CUSTOMER OBLIGATIONS The Customer primarily undertakes to remunerate Water Toys Center in accordance with the agreed terms and to provide all necessary information for the correct execution of the order.

ARTICLE 6: OBLIGATIONS OF THE SELLER Water Toys Center undertakes to provide Goods in accordance with the specifications in the approved estimate. These are obligations of means (obligations de moyens).

ARTICLE 7: MODIFICATION OF THE CONTRACT Any substantial changes to the initial order may be subject to additional invoicing by Water Toys Center.

ARTICLE 8: LIMITATION OF LIABILITY & RESELLER STATUS Water Toys Center acts exclusively as a reseller and authorized distributor, and NOT as the manufacturer. Consequently:

• Manufacturing & Design: Water Toys Center cannot be held liable for defects related to the design or manufacturing. Claims must be directed to the manufacturer.

• Property Damage & Personal Injury: Water Toys Center declines all responsibility for any incidents, accidents, or damages (including fire, battery thermal runaway, or explosions) resulting in injury to persons or damage to property (yachts, villas, etc.).

• Limitation: Liability shall not exceed the total amount paid by the Customer for the specific product involved.

ARTICLE 9: DELIVERY AND TRANSPORT Delivery times are indicative. Once dispatched, risk of loss or damage passes to the Customer.

ARTICLE 10: TERMS OF PAYMENT

• 50% deposit upon signing to validate the order.

• 50% balance received no later than 5 days before the dispatch. Late payments result in penalties (3x legal rate + 10 points) and a 40€ recovery fee.

ARTICLE 11: AFTER-SALES SERVICE (SAV) Water Toys Center provides SAV for certified brands for repairs feasible in its workshop. Return costs and risks are the Customer’s responsibility.

ARTICLE 12: WORKSHOP GUARANTEE Products returned for repair are guaranteed up to the purchase price, adjusted for obsolescence.

ARTICLE 13: SAFETY AND USER RESPONSIBILITY The Customer acknowledges having access to the manufacturer’s safety manual and assumes all risks associated with the use and storage (notably lithium-ion batteries). Water Toys Center is not liable for injury or death resulting from use or misuse.
