General terms of sales

PRELIMINARY ARTICLE: The Client acknowledges and guarantees that the subject of this contract falls within the scope of their main professional activity. Consequently, the Parties expressly intend to exclude the application of the provisions of sections 2, 3, and 6 of Chapter I of the French Consumer Code (Code de la consommation).

ARTICLE 2: PURPOSE

These General Terms and Conditions of Sale govern the sale of SEABOB underwater scooters and their official accessories.

This includes, without limitation:
• SEABOB underwater scooters (all series and models)
• Official SEABOB accessories
• Lithium-ion batteries and SEABOB chargers
• Spare parts and technical equipment
• Nautical equipment related to product use

The products offered are high-end motorized nautical equipment intended for marine use, in compliance with manufacturer recommendations and applicable regulations. 

ARTICLE 3: PRODUCTS

The products are described with the greatest possible accuracy.
Visuals, photographs, and renderings are non-contractual.

Products may include specific technical features, including:
• Lithium-ion batteries
• Sensitive electronic components
• Use in a marine environment
• Requirement for rigorous maintenance
• Potentially hazardous use

The use of these products may require appropriate training or supervision. 

ARTICLE 4: PRICES

Prices are indicated in euros (€) and expressed excluding taxes (EXCL. VAT), unless explicitly stated otherwise. Applicable VAT will be added in accordance with current legislation.

The following may be charged in addition:
• Transport
• Transport insurance
• Special packaging
• Export formalities
• Dangerous goods transport (lithium batteries)

For deliveries outside the European Union:
Custom duties, local taxes, import fees, customs clearance fees, or any specific taxes are the sole responsibility of the customer. 

ARTICLE 5: ORDER

Any order implies full and unconditional acceptance of these Terms and Conditions.

The Seller reserves the right to refuse or cancel any order in case of:
• Non-payment
• Suspected fraud
• Incomplete or inconsistent address
• Regulatory non-compliance (export, customs, country restrictions)
• Exceptional product unavailability
• Or any legitimate reason, including legal, regulatory, financial, or technical risk identified. 

ARTICLE 6: PAYMENT

Payments may be made via:
• Bank transfer
• Secure payment link
• Any other method accepted by the Seller

The order becomes final only after effective payment validation.
Shipment of the products will only occur after full and irrevocable receipt of funds by the Seller. 

ARTICLE 7: DELIVERY

Products are delivered to the address provided by the customer.
Delivery terms may be subject to a specific Incoterm agreed upon at the time of sale.

Transfer of risk occurs according to the applicable Incoterm or, failing that, upon handover to the carrier.

The customer must check the apparent condition of the package upon delivery.
Any reservations must be clearly stated on the carrier’s delivery note and confirmed in writing within 48 hours.
Failing this, no claim relating to visible damage will be accepted.

Delivery times are provided for information purposes only.
A reasonable delay shall not give rise to cancellation or compensation.

The customer is responsible for storage conditions after delivery, particularly concerning batteries and electronic equipment. 

ARTICLE 8: LIABILITY

The products sold are motorized nautical equipment that may present risks.
The customer acknowledges:
• Being capable of using the product
• Complying with local maritime regulations
• Reading and applying manufacturer instructions
• Using the product in appropriate conditions
• Being solely responsible for product compliance with regulations in the country of use

The Seller shall not be held liable in the event of:
• Misuse
• Lack of maintenance
• Product modification
• Use not compliant with recommendations
• Negligence or imprudence
• Any repair, maintenance, modification, or opening carried out by a non-approved third party

The Seller’s liability is strictly limited to the EXCL. VAT amount of the order concerned, excluding any indirect, immaterial, or loss-of-profit damages. 

ARTICLE 9: LITHIUM BATTERIES

Products may contain lithium-ion batteries classified as dangerous goods.

The customer agrees to:
• Strictly follow manufacturer instructions
• Use only the supplied charger
• Never leave a battery charging unattended
• Not charge near flammable materials
• Respect recommended charging cycles
• Perform maintenance charging at least monthly if unused
• Store the battery in a dry, temperate environment
• Never open, dismantle, modify, or puncture the battery

Any overcharging, prolonged undercharging, improper storage, or non-compliant handling will void the warranty. 

ARTICLE 10: WARRANTY AND MISUSE

Products benefit from applicable legal warranties and the manufacturer’s warranty.

Misuse includes, but is not limited to:
• Insufficient or excessive immersion depth
• Use in excessively sandy or muddy water
• Failure to rinse with fresh water after marine use
• Use by an untrained person
• Exceeding manufacturer limits
• Electronic or mechanical modification
• Repair by a non-approved third party
• Undeclared intensive professional use
• Non-compliance with battery charging cycles

The warranty is excluded in cases of misuse. 

ARTICLE 11: RIGHT OF WITHDRAWAL (B2C)

In accordance with consumer law, private customers have a 14-day withdrawal period.

The right of withdrawal does not apply to:
• Products that have been put in the water
• Products showing signs of immersion, humidity, or salt
• Products whose internal electronic counters have recorded operation
• Batteries that have undergone a charging cycle or activation
• Customized products

The right of withdrawal does not apply to professional clients.
Return costs are borne by the customer. 

ARTICLE 12: AFTER-SALES SERVICE AND RETURNS

Any return requires:
• Prior written request
• Seller authorization

Products must be returned in their original packaging and in strictly compliant condition. 

ARTICLE 13: FORCE MAJEURE

Force majeure includes, in particular:
• Port or customs blockage
• Export authorization refusal
• International conflicts
• Supplier failure
• Component shortages
• Exceptional increase in transport costs
• Strikes
• Natural disasters
• Health or energy crises

No compensation may be claimed in the event of force majeure. 

ARTICLE 14: APPLICABLE LAW

These Terms and Conditions are governed by Monégasque law.
Any dispute shall be submitted to the competent courts of the Seller’s registered office, unless mandatory legal provisions provide otherwise.
